1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and ZOSTAR AMZ ("we," "us," or "our") governing your use of our consulting and management services. By engaging our services or accessing our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Description

ZOSTAR AMZ provides professional e-commerce consulting and management services for Amazon sellers. Our services include:

• Amazon store management and operations consulting
• PPC advertising strategy and optimization consulting
• Product listing optimization consulting
• Brand registration assistance and consulting
• FBA logistics consulting and planning
• Market research and competitive analysis

Note: All services are provided on a consulting and advisory basis. We do not directly manage, control, or operate Amazon seller accounts on behalf of clients without explicit authorization and appropriate agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and lawful information about your business
• Maintain full control and ownership of your Amazon seller account(s)
• Comply with all applicable Amazon Seller Policies, Seller Codes of Conduct, and Terms of Service
• Ensure all products sold comply with applicable laws, regulations, and Amazon policies
• Make timely payments for services rendered
• Grant only authorized access to accounts and platforms as agreed in writing
• Implement recommendations at your own discretion and judgment

4. Compliance with Amazon Policies

You acknowledge and agree that:

• You are solely responsible for compliance with Amazon's Seller Policies, including but not limited to Seller Code of Conduct, Product Listing Policies, Advertising Policies, Brand Policies, Customer Service Policies, and all other applicable Amazon guidelines
• Our services do not involve any activities that violate Amazon's policies, including but not limited to: review manipulation, ranking manipulation, artificial inflation of sales, deceptive pricing, copyright or trademark infringement, or any other prohibited practices
• We will not engage in any activity that could result in your Amazon seller account being suspended, terminated, or receiving negative feedback from Amazon
• You will promptly inform us of any policy changes, account notifications, or account issues that may affect our services or your compliance status
• We reserve the right to refuse service if we reasonably believe your activities may violate Amazon policies or applicable laws, and we may terminate services immediately if you are found to be engaging in policy-violating activities
• ZOSTAR AMZ is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or any of its subsidiaries

5. Payment Terms

5.1 Fees

Service fees are as outlined in your service agreement or as displayed on our pricing page. All fees are quoted in US dollars and are non-refundable unless otherwise specified in a separate written agreement.

5.2 Payment Schedule

Payment terms will be specified in your service agreement. Typically, monthly retainer fees are due in advance on the first of each month. Late payments may result in service suspension.

5.3 Taxes

You are responsible for all taxes applicable to your use of our services. We will collect applicable sales tax where required by law.

6. Intellectual Property

All materials, strategies, methodologies, and content provided by ZOSTAR AMZ remain our intellectual property. You are granted a limited, non-exclusive license to use such materials for your internal business purposes only. You may not reproduce, distribute, or disclose our proprietary materials without written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive business information shared during the engagement. This obligation survives termination of services for a period of three (3) years. Confidential information does not include information that is publicly available or independently developed.

8. Disclaimers and Limitation of Liability

8.1 No Guaranteed Results

WE PROVIDE CONSULTING AND ADVISORY SERVICES ON AN "AS IS" BASIS. WHILE WE STRIVE TO PROVIDE HIGH-QUALITY ADVICE, WE DO NOT GUARANTEE SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO:

• Sales volumes, revenue growth, or profitability
• Product ranking positions or visibility
• Advertising ROI or ACoS improvements
• Account approval, reinstatement, or status

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT RESPONSIBLE FOR AMAZON'S ACTIONS, INCLUDING ACCOUNT SUSPENSIONS, POLICY CHANGES, OR ALGORITHM UPDATES

8.3 Independent Business Decision

You acknowledge that all decisions regarding your Amazon business, including product selection, pricing, inventory, and advertising, are made independently by you. Our recommendations are advisory in nature and you retain full control over all business decisions.

9. Indemnification

You agree to indemnify and hold harmless ZOSTAR AMZ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your violation of Amazon's policies or terms
• Your violation of any applicable laws or regulations
• Infringement of any third-party intellectual property rights
• Products you sell or distribute

10. Term and Termination

10.1 Term

These Terms remain in effect for the duration of your engagement with our services.

10.2 Termination

Either party may terminate the service agreement with thirty (30) days written notice. We may terminate or suspend services immediately if you violate these Terms or if we reasonably suspect unlawful or policy-violating activity.

10.3 Effect of Termination

Upon termination: (a) all outstanding fees for services rendered remain due; (b) you will provide written confirmation revoking any access granted to us; (c) both parties' confidentiality obligations survive termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the state or federal courts located in New York, NY.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or posted on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. General Provisions

• Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between you and ZOSTAR AMZ
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• No Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
